"You" means the person or business using the Website or purchasing our services.
2. Our Services
We provide AI and business process automation, AI chatbots and virtual assistants, SEO, AEO and GEO services, custom web and SaaS development, mobile app development, and data analytics and dashboards. Information on the Website is a general description only and does not form a contract.
3. Engaging Us
Each project starts with a free consultation. After that, we will provide a written proposal, quotation or statement of work ("Proposal") describing scope, deliverables, timeline and fees. A contract between you and us is formed only when you accept the Proposal in writing (including by email) or we begin work at your request. If a Proposal conflicts with these Terms, the Proposal prevails for that project, unless it states otherwise.
Our business services are provided to businesses and organisations. If you are a consumer, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or other mandatory consumer law.
4. Fees and Payment
- Fees, currency and payment schedule are set out in the Proposal. Unless stated otherwise, fees exclude VAT and other applicable taxes, which you must pay at the prevailing rate.
- Invoices are payable within 14 days of the invoice date unless the Proposal says otherwise.
- We may charge interest on overdue amounts under the Late Payment of Commercial Debts (Interest) Act 1998, and may suspend work until overdue invoices are paid.
- Bank charges, currency conversion fees and third-party costs (such as hosting, domains, licences, APIs and AI usage fees) are your responsibility unless included in the Proposal.
- Work outside the agreed scope is a change request and may incur additional fees and affect timelines. We will agree any change with you in writing before proceeding.
5. Client Responsibilities
You agree to provide timely access, information, content, feedback and approvals we reasonably need; to make sure you have the right to supply any materials, data and content you give us; and to comply with applicable laws in your use of our deliverables. Delays caused by you may extend timelines and affect fees.
6. Timelines and Acceptance
Delivery dates are estimates unless expressly guaranteed in the Proposal. We will deliver in stages with regular demonstrations where appropriate. Unless the Proposal states otherwise, you have 7 days after each delivery to report material defects in writing. If we hear nothing, the deliverable is treated as accepted. We will correct material defects that do not meet the agreed specification within a reasonable time.
7. Intellectual Property
- Your materials. You keep ownership of all content, data, logos and materials you provide ("Client Materials"). You grant us a licence to use them only to provide the services.
- Our deliverables. Subject to full payment, ownership of the bespoke deliverables created specifically for you, as identified in the Proposal, transfers to you, or we grant you an exclusive, perpetual licence to use them, as stated in the Proposal.
- Our background IP. We keep all rights in our pre-existing tools, code, frameworks, libraries, methodologies, templates, know-how and our own products, including PakLawAssist, SENTEEZ and TakeThisCourse. Where such items are included in a deliverable, we grant you a non-exclusive, worldwide, perpetual licence to use them as part of that deliverable.
- Third-party and open-source components are subject to their own licence terms.
- Our portfolio. Unless you tell us otherwise in writing, we may name you as a client and describe the project in general terms in our portfolio.
- The DGTAL name, logo and Website content (text, graphics, design) are owned by or licensed to us. You may not copy, reproduce or exploit them without our written permission.
8. AI-Related Services and Outputs
Where our services use artificial intelligence or machine learning:
- Outputs may be inaccurate, incomplete or similar to other outputs, and are not guaranteed to be error-free.
- AI outputs are not legal, financial, medical or other professional advice. You are responsible for reviewing them and for decisions made using them.
- Some solutions rely on third-party AI providers whose terms and availability are outside our control.
- You are responsible for ensuring you have a lawful basis and necessary permissions for any personal data you ask us to process using AI tools.
9. Confidentiality
Each party must keep confidential the other's non-public business, technical and financial information, use it only for the project, and not disclose it except to staff, contractors or advisers who need to know and are bound by confidentiality, or where required by law. This continues after the contract ends but does not apply to information that is public through no fault of the recipient.
10. Data Protection
Each party will comply with applicable data protection law, including the UK GDPR and Data Protection Act 2018 (and the EU GDPR where relevant). Where we process personal data on your behalf as your processor, we will do so under a data processing agreement on request. Our handling of personal data collected through the Website is described in our Privacy Policy.
11. Acceptable Use of the Website
You must not use the Website to:
- break the law or infringe others' rights;
- send malicious code, spam or unlawful content;
- attempt unauthorised access, probe, scan or test vulnerabilities;
- scrape or harvest data by automated means without our permission;
- interfere with the Website's operation or security; or
- impersonate any person or entity.
We may suspend or restrict access if you breach this section.
12. Third-Party Links and Products
The Website links to third-party websites and to our separate products (PakLawAssist, SENTEEZ and TakeThisCourse), which have their own terms and privacy policies. We are not responsible for third-party sites or for your use of them.
13. Warranties and Disclaimer
We will provide the services with reasonable skill and care. Except as expressly stated, and to the maximum extent permitted by law, we do not give any other warranties or conditions, and the Website and any free materials are provided "as is" and "as available". We do not guarantee that the Website will be uninterrupted or error-free.
We do not guarantee specific results from SEO, AEO, GEO, marketing or analytics services, such as search rankings, AI citations, traffic, leads or revenue, as these depend on factors outside our control, including search engines and AI platforms.
14. Limitation of Liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited or excluded by law.
Subject to the above, and for business clients:
- we are not liable for loss of profit, revenue, business, goodwill, anticipated savings or data, or for any indirect or consequential loss, whether in contract, tort (including negligence), breach of statutory duty or otherwise; and
- our total liability arising from or in connection with any project is limited to the fees paid or payable to us for that project in the 12 months before the claim arose.
15. Indemnity
You agree to indemnify us against losses, claims and costs arising from Client Materials that infringe third-party rights, or from your unlawful use of our deliverables, except to the extent caused by our breach of these Terms.
16. Term and Termination
Either party may terminate a project by giving 30 days' written notice, or immediately if the other party commits a material breach that remains unremedied 14 days after written notice, or becomes insolvent. On termination you must pay for work performed and costs incurred up to the termination date. Sections that by nature should continue (including payment, intellectual property, confidentiality, liability and governing law) survive termination.
17. Force Majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, power or internet failures, third-party service outages, war, terrorism, strikes, governmental action or pandemic, provided it promptly notifies the other and takes reasonable steps to limit the impact.
18. General
- Entire agreement. These Terms, the Proposal and the Privacy Policy are the entire agreement between us on their subject matter.
- Changes. We may update these Terms. The version on the Website at the date of your Proposal or use applies to you. Continued use of the Website after an update means you accept it.
- Assignment and subcontracting. You may not assign your rights without our written consent. We may use our UK and Pakistan teams and approved subcontractors, and remain responsible for their work.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. A delay in enforcing a right is not a waiver of it.
- Notices. Notices must be in writing and sent to contact@dgtalsolutions.com or to our UK registered office.
- Third-party rights. No one other than the parties may enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
19. Governing Law and Disputes
These Terms and any dispute or claim arising from them (including non-contractual disputes) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief or enforce a judgment in any competent court, including in Pakistan. If you are a consumer, you also keep any mandatory rights under the law of your country of residence.
Before starting legal proceedings, the parties will try in good faith to resolve any dispute by discussion between senior representatives for at least 30 days.
